Christopher Kelly has been practicing corporate, corporate governance, transactions, fund, regulatory, compliance and contract law for over 30 years.
Mr. Kelly is expert in investment advisor, regulatory and compliance matters, Delaware corporate law, New York corporate law, the Investment Advisers Act of 1940 and the Volcker Rule.

Prior to forming his own practice, he was a Partner in the New York City office of Proskauer Rose, working with such clients as CIBC World Markets, Equitable, Reader’s Digest, Reckson, W.R. Hambrecht, Donna Karan. He also represented a number of large hedge funds and private equity funds. Mr. Kelly has represented both onshore and offshore hedge funds in formation, trading, compliance, valuation, operations and other fund matters. He has represented public and private companies in mergers and acquisitions, restructurings, compliance and various contract issues. Mr. Kelly also served as a Partner with Silver, Freedman & Taff, where he specialized in venture capital, mergers and acquisitions, banking and financial services, and compensation and benefits. Prior to Silver, Freedman, Mr. Kelly practiced corporate and business law with Skadden, Arps, Slate, Meagher & Flom in New York City.
Mr. Kelly received his B.A. with High Honors from the University of Virginia in 1979 and J.D. from the University of Virginia School of Law in 1983. At the University of Virginia School of Law, Mr. Kelly served with Professor Ernest Folk, a primary drafter of, and commentator on, Delaware corporate law.
Mr. Kelly is a member of the New York and District of Columbia Bars.
